Terms & Conditions
We're engineers, operators, and builders. We would rather shake hands, sign a one-page LOI, and get to work. But we serve institutional clients — utilities, EPCs, investors, municipalities — and that means a few pages of legal language are unavoidable.
Here it is. Read it if you need to. Call us if something isn't clear. We don't hide behind fine print.
1. Acceptance of Terms
By engaging New Energy Development Company LLC ("NEDC," "we," "our," "us") for any service — including advisory, development, acquisition, or technology licensing — you agree to these Terms & Conditions. If you do not agree, do not engage us.
2. Services
NEDC provides (a) acquisition, development, and construction of peak-shaving LNG production and storage facilities; (b) technical, commercial, and strategic advisory services; and (c) licensing and deployment support for GreenER™ technology (US Patent 12,455,047 B2). Scope, deliverables, and fees for each engagement are defined in a separate written agreement.
3. Engagement & Deliverables
All work is performed under a mutually signed engagement letter, MSA, or license agreement. This site and any informational materials do not constitute an offer to contract, a warranty, or a commitment to deliver any specific outcome.
4. Intellectual Property & GreenER™
"GreenER™" is a trademark of New Energy Development Company LLC. US Patent 12,455,047 B2 and any related patents, pending applications, designs, drawings, and trade secrets remain the exclusive property of NEDC. No license is granted except pursuant to a separate, written license agreement. Unauthorized copying, reproduction, or fabrication is prohibited and may result in civil or criminal liability.
5. Website Content
Content on this website is provided for general informational purposes only and may include forward-looking statements regarding our services, technology, and market. Such statements involve risks and uncertainties and actual results may differ materially. No content here should be construed as investment, engineering, legal, or tax advice. 6. No Offer of Securities
Nothing on this website is an offer to sell, or a solicitation of an offer to buy, any security or other financial product. Any capital-raising activity will be conducted pursuant to applicable securities laws and separate offering documentation.
7. Confidentiality
Information exchanged between NEDC and a client or prospective client is treated as confidential under customary commercial terms. Specific confidentiality obligations are defined in the applicable NDA or engagement letter. Publicly available information, independently developed information, and information received without confidentiality obligation are excluded.
8. Privacy
We collect only the information you voluntarily provide via our contact form (name, company, email, phone, and message) for the purpose of responding to your inquiry. We do not sell, rent, or share your information. We do not deploy third-party advertising trackers. We may retain correspondence for our records and to support ongoing business relationships. 11. Warranties & Disclaimers
THE WEBSITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, NEDC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. Warranties for paid services are set out exclusively in the applicable engagement letter or license agreement.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEDC'S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THIS WEBSITE OR GENERAL INFORMATIONAL MATERIALS IS LIMITED TO $100. FOR PAID SERVICES, LIABILITY IS GOVERNED BY THE APPLICABLE ENGAGEMENT LETTER OR LICENSE AGREEMENT. NEDC WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION.
13. Indemnification
You agree to indemnify and hold harmless NEDC, its officers, directors, partners, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your misuse of this website, your violation of these Terms, or your violation of applicable law.

18. Severability, Assignment & Entire Agreement
If any provision of these Terms is held invalid, the remainder continues in effect. You may not assign these Terms without our written consent; we may assign to a successor in connection with a merger, acquisition, or sale of assets. These Terms, together with any applicable engagement letter or license agreement, constitute the entire agreement between you and NEDC regarding their subject matter.
