We're engineers, operators, and builders. We would rather shake hands, sign a one-page LOI, and get to work. But we serve institutional clients — utilities, EPCs, investors, municipalities — and that means a few pages of legal language are unavoidable.
Here it is. Read it if you need to. Call us if something isn't clear. We don't hide behind fine print.
1. Acceptance of Terms
By engaging New Energy Development Company LLC ("New Energy™," "we," "our," "us") for any service — including advisory, development, acquisition, or technology licensing — you agree to these Terms & Conditions. If you do not agree, do not engage us.
2. Services
New Energy™ provides (a) acquisition, development, and construction of peak-shaving LNG production and storage facilities; (b) technical, commercial, and strategic advisory services; and (c) licensing and deployment support for GreenER™ technology (US Patent 12,455,047 B2). Scope, deliverables, and fees for each engagement are defined in a separate written agreement.
3. Engagement & Deliverables
All work is performed under a mutually signed engagement letter, MSA, or license agreement. This site and any informational materials do not constitute an offer to contract, a warranty, or a commitment to deliver any specific outcome.
4. Intellectual Property & GreenER™
"GreenER™" is a trademark of New Energy Development Company LLC. US Patent 12,455,047 B2 and any related patents, pending applications, designs, drawings, and trade secrets remain the exclusive property of New Energy™. No license is granted except pursuant to a separate, written license agreement. Unauthorized copying, reproduction, or fabrication is prohibited and may result in civil or criminal liability.

Content on this website is provided for general informational purposes only and may include forward-looking statements regarding our services, technology, and market. We collect only the information you voluntarily provide via our contact form (name, company, email, phone, and message) for the purpose of responding to your inquiry. We do not sell, rent, or share your information. We do not deploy third-party advertising trackers. We may retain correspondence for our records and to support ongoing business relationships. We may disclose information as required by law, court order, or lawful request from a government authority.
9. Accuracy, Updates & Availability
We attempt to keep the information on this website accurate and current, but we do not warrant its completeness or suitability for any particular purpose. We may update, modify, suspend, or discontinue any portion of the site at any time without notice.

12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEW ENERGY™'S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THIS WEBSITE OR GENERAL INFORMATIONAL MATERIALS IS LIMITED TO $100. FOR PAID SERVICES, LIABILITY IS GOVERNED BY THE APPLICABLE ENGAGEMENT LETTER OR LICENSE AGREEMENT. NEW ENERGY™ WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION.
13. Indemnification
You agree to indemnify and hold harmless New Energy™, its officers, directors, partners, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your misuse of this website, your violation of these Terms, or your violation of applicable law.
14. Force Majeure
Neither party will be liable for failure or delay in performance caused by events beyond reasonable control, including acts of God, war, terrorism, civil disturbance, pandemic, labor disputes, supply-chain disruption, governmental action, or utility outages.
15. Electronic Communications
By submitting the contact form or sending us email, you consent to receive electronic communications from us in response. Electronic records and signatures satisfy applicable legal requirements.
16. Governing Law & Venue
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws principles. Venue for any dispute arising from this website or general informational materials is exclusively in the state or federal courts located in Harris County, Texas. For paid engagements, governing law and venue are specified in the applicable engagement letter or license agreement.
17. Dispute Resolution
For disputes arising from this website or general informational materials, the parties will first attempt good-faith resolution via direct discussion for 30 days. Unresolved disputes will be submitted to binding arbitration in Harris County, Texas under the Commercial Arbitration Rules of the American Arbitration Association. Each party waives the right to a jury trial and to participate as a class representative or class member.
18. Severability, Assignment & Entire Agreement
If any provision of these Terms is held invalid, the remainder continues in effect. You may not assign these Terms without our written consent; we may assign to a successor in connection with a merger, acquisition, or sale of assets. These Terms, together with any applicable engagement letter or license agreement, constitute the entire agreement between you and New Energy™ regarding their subject matter.
19. Changes to These Terms
We may update these Terms from time to time. The "Last updated" date below reflects the most recent revision. Your continued use of the website after changes are posted constitutes acceptance of the revised Terms.

21. Compliance & Relevant Regulations
GreenER™ Technology and other LNG systems are evaluated under a combination of federal, state, Coast Guard, FERC, PHMSA, engineering-code, and classification-society requirements depending on whether the project is land-based, pipeline-connected, marine, waterfront, barge-mounted, export-related, or transportation-related using Type C tanks as large as 500,000 USG, and flat-bottom cryogenic storage of 1.3 Bcf or larger.

GreenER™ Cryogenic Technologies may offer significant design advantages through no-bottom-penetration architecture, full pressure-build liquid transfer, reduced or eliminated rotating equipment, flat-bottom and fabricated LNG bullet-tank configuration, but final compliance must be determined project-by-project by the applicable authority having jurisdiction, engineer of record, and, where applicable, Coast Guard, FERC, PHMSA, state regulators, and classification societies.
GreenER™ fabricated cryogenic technology and LNG bullet tanks are typically evaluated more like ASME Section VIII cryogenic pressure vessels, while large flat-bottom LNG tanks are typically evaluated under API 625/API 620 and related full-containment tank standards. That distinction matters because GreenER™ Technology is not simply a different version of a conventional flat-bottom LNG tank; it is a different tank architecture with different pressure, penetration, foundation, containment, inspection, and failure-mode assumptions.

New Energy™ and GreenER™ and PER™ are trademarks claimed by New Energy Development Company LLC in connection with its patented LNG storage, transfer, and dispensing technology.
